For and in consideration for the payment I receive for my engagement as a model by Citygirls International, Inc. in the event such Photographs and Video are used or sold, and in further consideration of the publicity to be received by the undersigned by the use of such Photographs and Video, I hereby give Citygirls International, Inc., or its agents, representatives and assign, those for whom they are acting, and those acting their permission or authority, and their respective agents and employees, and any person or entity who may hereafter publish the films or photographs or Videos or digital images (hereinafter collectively referred to as the "Users") the absolute, perpetual and irrevocable right and permission to copyright in its own name, use, reuse, publish, republish, exhibit, display, print and reprint in advertising material, television and motion pictures, magazines, books, video recordings, audio recordings, Internet, CD ROMs or other media, known or unknown at this time, and for any other purpose as they may see fit, in their sole and absolute discretion, the films, photographs, video recordings and audio recordings, negatives, prints of every kind and nature, illustration, portraits made from the photographs, videos, pictures, designs, paintings and drawings of every kind and nature heretofore taken, or taken this day, or hereafter taken, including, without limitation, reproductions thereof in which I may be included in whole or in part (hereinafter collectively referred to as the "Photographs and Video "). Such Photographs and Video may be used in any way by the Users for purposes of trade, advertising, publicity or promotion of any kind without restriction. The failure of Citygirls International, Inc. to pay for such use shall not be deemed as a failure of consideration by any other Users. Irrevocable World rights and multiple usages are hereby authorized.

I agree that legal proprietorship and copyrights for all negatives, photographs, and/or recordings produced for and/or by Citygirls International, Inc. is held by same, and legal action can and will be taken for unauthorized use for any purpose by any other person and/or company including me. I hereby give Citygirls International, Inc., and those acting under its permission or upon its authority, permission to copy, publish, perform, publicly display, distribute, sublicense, modify, sell, create derivative works from and/or use images of me, and all negative, transparencies, prints, or digital information pertaining to them, in any format, with my legal or professional name and or/endorsements, together or separately, in any web site, media or publication owned, produced or controlled by the company and to make any changes or additions to such images in any manner as Citygirls International, Inc. shall desire in their sole discretion. I also understand that editorial matter, advertising or other content may accompany these photos.

I hereby waive any right to inspect or approve the Photographs and Video or the editorial or advertising copy or printed matter that may be used by the Users in conjunction therewith. I further waive any claims that I may have to the eventual use to which it may be applied. Such Photographs and Video may be used, in the sole discretion of the Users, with or without my name, or a fictitious name and with fictitious or accurate quotations, interviews or biographical material. The Users may use the Photographs and Video and accurate or fictitious statements attributed to me which may constitute endorsement of services or products, in the sole discretion of the Users. I hereby release, discharge and agree to defend, indemnify and save harmless Citygirls International, Inc. and Users, their legal representatives, owners and creators, contractors, shareholders, directors, officers and employees, agents, licensees, successors and assigns, and all parties acting under their permission, or with authority from them or those for whom they are acting, from and against any and all losses, damages, costs, charges, attorneys' fees, recoveries, actions, judgments, penalties, expenses and any other loss whatsoever which may be obtained against, imposed upon or suffered by all or any of them which may arise from this engagement and the use of such Photographs and Video, even should the same subject be to ridicule, scandal, reproach, scorn or indignity, and from any liability as a result of any distortion, blurring or alteration, optical illusions or use in composite from, either intentionally or otherwise that may occur or be reproduced in the taking, processing or reproduction of the finished product, or its publication or distribution or which may arise from any breach of any warranty, representation, covenant or agreement made by me. I waive any claim that I may have for alleged violation of privacy, defamation or libel by the use of such Photographs and Video. I agree not to bring any claim, now or in the future, of any kind against Citygirls International, Inc., or any host, distributor, retailer, vendor, or any contractors, agents, shareholders, directors, officers and employees thereof. I hereby waive and agree not to bring any and all claims I may have now or hereafter, of which I am aware and of which I may not be aware, including but not limited to rights of privacy, publicity, use of my name, copyright, trademark, service mark, trade name, civil and or other claims

I voluntarily and knowingly consent and or have consented and agree to engage in physical nudity which includes explicit full frontal nudity, including fully spread legs, vaginal spreads, and with my entire vaginal and anal areas clearly and fully exposed, and includes oral, vaginal and/or anal insertions and vaginal masturbation, and other explicit sexual acts as agreed, for recording, publication, sale and distribution, electronically or in paper form and assume all risks of doing so. I do not find images of nude adults, adults engaging in sexual acts or other sexual material to be offensive or objectionable, and I will not be offended by engaging in explicit sexual display or viewing such conduct by others during filming and shooting this engagement.

I hereby represent that I am over the age of 18 years and have read this authorization and release prior to its execution. I understand that if I misrepresent my age, or if I violate any of the above agreement, I may be in violation of local, state/provincial and federal laws. I have not been induced to sign the same other than by the recited considerations, by any representation or statement made by Citygirls International, Inc., or its agent's employees, or anyone acting on its behalf.

I agree that I was not and will not be under the influence of alcohol or drugs during a photo shoot made pursuant to this release. I hereby release Citygirls International, Inc., and any of its associated or affiliated companies, their directors, officers, agents, employees and customers, and appointed advertising agencies, their directors, officers, agents and employees from all claims of every kind with regard to such use.

I have not been coerced in any way by Citygirls International, Inc. to participate in the publication of these Photographs and do so voluntarily and of my own free will.

I understand that proof of age in the form of a legible photocopy of my valid photographic identification must be provided to Citygirls International, Inc. before any photo shoot commences and before any business relationship with Citygirls International, Inc. may commence.

If I choose to act as a spokesperson for Citygirls I will attend public functions, charity events; make public appearances, appear in various forms of advertising to promote Citygirls as may be necessary from time to time, and as set out and determined at the sole discretion of Citygirls International, Inc. I may participate in online games, and/or videos/chats and other online events as required. I understand I will receive an appearance fee of not less than ONE HUNDRED FIFTY DOLLARS ($150.00) per day, for all public appearances, excluding charity events.

All images and videos taken during this shoot become the exclusive property of Citygirls International, Inc., upon the model receiving full payment in the amount of ($000.00) DOLLARS for her modeling services. Proof of receipt of full payment shall be in the form of a receipt issued by Citygirls International, Inc. and duly completed, signed, and dated by the model in her own handwriting. By affixing my initials below I acknowledge receipt of full payment for my modeling services and completion of the aforementioned receipt.

Citygirls International, Inc. as primary producer, hereby certifies to all Users that the visual depictions covered by this release satisfy the standards under paragraphs (a) (1) through (a) (3) of Section 75.7 of the Regulations implementing 18 U.S.C. Subsection 2257 and may not depict actual sexually explicit conduct.

Both parties agree this Model Release may be completed at different times in different locations on different days and be transmitted by Fax or any other electronic means and shall have the same validity as if both parties were present at the same time, in the same place as the execution date and location of the contract and shall be binding on both parties.
